Spectris announces changes to board composition

Spectris plc (“Spectris”) (LSE: SXS), the productivity-enhancing instrumentation and controls company, today announces the following changes to the composition of its Board:

Bill Seeger will join the Board as Non-Executive Director with effect from 1 January 2015 and will assume the role of Chairman of the Audit and Risk Committee from John Warren following the approval of the 2014 Report & Accounts. Bill retired as Group Finance Director of GKN plc in August 2014, a position he had held for seven years, and currently serves as Chairman of the Audit Committee at Smiths Group plc. Bill previously spent over 20 years in senior finance roles within TRW and is a US citizen.

Ulf Quellmann will join the Board as a Non-Executive Director with effect from 1 January 2015. Ulf is currently Global Head of Treasury at Rio Tinto plc. Ulf has worked in the metals, minerals and mining industry for the past 12 years, and prior to that he held a number of senior management roles at General Motors. He is a German citizen.

John Warren will retire as a Non-Executive Director immediately following the Annual General Meeting on 24 April 2015. With effect from 1 January 2015 he will stand down as Senior Independent Director and Russell King will assume this role in addition to remaining Chairman of the Remuneration Committee.

Announcing the appointments, John Hughes, Chairman of Spectris, said: “I am delighted that Bill and Ulf have agreed to join us. They will bring significant knowledge of, respectively, the automotive and aerospace and mining industries to our discussions and their skills, expertise and experience will be a valuable addition to our Board.

I would like to thank John for the significant contributions he has made to the Board of Spectris since his appointment in 2006, and wish him well for the future following his retirement from our Board in April.”

There are no further details to be disclosed in respect of Listing Rule 9.6.13.
