Bruker Expands Microscopy Business
The purchase will make Bruker the leading vendor in the SPM market (see page 1). Revenue from Veeco Metrology declined 23.6% in 2009 to $97.7 million (see IBO 5/15/10) to make up 26% of Veeco revenues. (For Veeco Metrology’s quarterly sales, see page 12.)
Billerica, MA 8/16/10; Plainview, NY 8/16/10—Bruker has agreed to acquire Veeco Instruments’ Metrology business, consisting of its scanning probe microscopy (SPM) and optical industrial metrology (OIM) instruments, for $229 million in cash. In 2011, the business is forecast to contribute revenues of more than $130 million and adjusted operating margins of greater than 15%. Bruker estimates the acquisition will be $0.02–$0.04 accretive to 2011 GAAP EPS and $0.06–$0.08 accretive to adjusted EPS. “We believe that this acquisition will expand the total addressable market segments for our materials and nanotechnology research and analysis systems to over two billion dollars annually,” said Bruker President and CEO Frank H. Laukien. Veeco CEO John R. Peeler stated that Veeco Metrology “lacks meaningful synergies with our Process Equipment businesses in technology, distribution and customers.” Bruker will combine the business with its Nano instruments business. Bruker intends to continue to operate the SPM and OIM businesses from their respective locations in California and Arizona and to retain the majority of employees. The transaction is expected to close in the fourth quarter, pending regulatory review.
