Hitachi High-Technologies and SII Nano Technology Merger Delayed

Both companies offer scanning, transmission and focused ion beam electron microscopes. In addition, the combination of product lines would increase Hitachi High-Technologies’ share of the overall atomic spectroscopy market.

Tokyo, Japan 7/25/12; Tokyo, Japan 7/25/12; Tokyo, Japan 8/9/12—Hitachi High-Technologies and Seiko Instruments have announced a delay in the acquisition of Seiko’s SII NanoTechnology business by Hitachi High-Technologies (see IBO 5/31/12) due to regulatory review. The Japan Fair Trade Commission (JFTC) has stated that following a review of the impact on the acquisition on competitors, it is pursuing a more detailed examination of the deal. The JFTC has requested additional information from Hitachi High-Technologies and the opinions of third parties. The completion of the share transfer agreement had been scheduled for July 25, with a tentative date for share transfer of October.
