Ratos AB Offers to Buy Biolin Scientific AB
Biolin Scientific AB reported 2009 sales of SEK 136.7 million ($19.5 million = SEK 7.66 = $1), an increase of 25.4% (see IBO 4/15/10). Biolin’s businesses consist of Q-Sense, KSV, Nima Technology, Attension and Osstell, which each provide instruments for materials characterization. For Biolin quarterly results, see page 12.
Stockholm, Sweden and Västra Frölunda, Sweden 11/29/10—Ratos AB, a Swedish private equity firm, has offered SEK 277 million ($39 million = SEK 7 = $1) to buy analytical instrument maker Biolin Scientific AB. The offer of SEK 11.50 ($1.64) per share represents a premium of 32.2% compared with the average Biolin share price traded on the NASDAQ OMX Stockholm exchange during the 30 days before the offer was announced. Biolin’s Board has until December 21 to accept the offer. Settlement is expected to occur on December 28. Biolin’s Board has unanimously recommended that shareholders approve the offer, which is contingent on 90% of shareholders agreeing to sell their stakes. Ratos does not plan to significantly change Biolin’s current strategy. Biolin was founded in 1984 and has 89 employees.
