ACQUISITION OF CAS CLEAN AIR SERVICE AG

Spectris plc (“Spectris”) (LSE: SXS), the productivity-enhancing instrumentation and controls company, announces that it has completed the acquisition of the privately-owned business, CAS Clean Air Service AG (“CAS”). The acquisition is subject to regulatory approval and certain other closing conditions.

Established in 1989 in Wattwil, Switzerland, CAS has become a leading cleanroom-services company, providing measurement services, process qualification, calibration services and product sales, primarily to the pharmaceutical manufacturing market. CAS generates annual revenue of around CHF 10 million, of which services represent approximately 85%. CAS will be integrated into Particle Measuring Systems (“PMS”) within Spectris’ Materials Analysis segment and the CAS name will remain a distinct service brand within PMS. CAS is expected to deliver strong growth by leveraging PMS’s technical and application leadership in particle counter manufacturing and by offering its Good Manufacturing Practice service knowledge and expertise more extensively across PMS’s existing sales network. More information on CAS can be found at https://www.cas.ch/en/company/.

Eoghan O’Lionaird, Business Group Director, said: “CAS has a strong reputation for providing high quality services to the life science and pharmaceutical manufacturing industries, and is an important and strategic addition to PMS. We believe there is a strong cultural fit with PMS, and that the combined capabilities will create additional value for our customers as well as increasing the resilience of PMS’s revenue stream. CAS represents Spectris’ seventh acquisition in the last two years that reinforces our strategic intent to focus on the provision of innovative solutions to customers, encompassing hardware, software and services, and will enhance our presence in a key strategic market for the Group, the life science market.”
