Ad hoc announcement pursuant to Art. 53 LR — Zeochem to acquire SiliCycle of Canada
The Chemistry Division of the CPH Group has entered into an agreement to purchase all substantial assets of SiliCycle Inc., a Canada-based company. The acquisition of this manufacturer of high-value chromatography gels for the pharmaceutical industries marks a further milestone in the CPH Group’s implementation of its global expansion strategy.
Perlen – The CPH Group announces that Zeochem, the Chemistry Division of the CPH Group, has entered into an agreement with the responsible monitor for the acquisition of all substantial assets of SiliCycle. SiliCycle is a world leader in developing, producing and distributing high-value chromatography gels that are used in separation processes for pharmaceutical products. SiliCycle generated total revenues of CAD 16 million in the 2024 business year with a workforce of some 60 personnel. The parties have agreed not to divulge the purchase price involved. Upon completion of the acquisition, SiliCycle will be assimilated into the Chemistry Division. Closing of the transaction is expected to occur in the third quarter of 2025.
The acquisition of SiliCycle is expected to add a number of further high-value products to the Zeochem portfolio. These include in particular the company’s derivatized chromatography gels which are used for complex separation processes in the chemical, pharmaceutical and biotechnology sectors. These gels feature outstanding physical and chemical properties and are used in particular in liquid chromatography, an analytical technique which separates and identifies substances in a liquid phase and is frequently employed in R&D laboratories, in process chemistry and in the manufacture of active pharmaceutical ingredients.
With its purchase of SiliCycle, the CPH Group is expanding its product portfolio in the field of derivatized chromatography gels and further strengthening its position in markets with above- average growth prospects. “With the proposed acquisition of SiliCycle, we are consistently further pursuing our Zeochem expansion strategy and are supplementing the Zeochem product range in the chromatography gel field,” says Dr. Alois Waldburg-Zeil, CEO of the CPH Group and Head of the Chemistry Division. “Our assimilation of SiliCycle and its business will also offer us opportunities to utilize synergies in both our production and our worldwide distribution activities.”
The proposed acquisition of SiliCycle is the latest step in the CPH Group’s pursuit of its strategy of expanding its global market position with a particular focus on products with high growth potential. Following completion of the acquisition, the CPH Group will be present and active in 15 locations worldwide.
