Agilent Technologies Prices $750 Million of Senior Notes

SANTA CLARA, Calif.–Agilent Technologies Inc. (NYSE: A – News) today announced the pricing of two series of its senior notes in an aggregate principal amount of $750 million, in an underwritten, registered public offering. Of these notes, $500 million will mature in September 2015 and will bear interest at an annual rate of 5.50 percent, and $250 million will mature in September 2012 and will bear interest at an annual rate of 4.45 percent. The offering is expected to close on Sept. 14, 2009, subject to customary closing conditions.

Agilent intends to use the net proceeds from the offering for general corporate purposes, which may include the acquisition of Varian, Inc. and acquisition-related expenses, and may also include other acquisitions, working capital, capital expenditures and repurchases of its outstanding shares of common stock.

Barclays Capital Inc., Citigroup Global Markets Inc. and Credit Suisse Securities (USA) LLC acted as joint book-running managers for the offering. BNP Paribas Securities Corp.; Goldman, Sachs & Co.; Standard Chartered Bank; and Utendahl Capital Group, LLC acted as co-managers.
