Honeywell to Acquire Sigma-Aldrich Businesses

The acquisition will add 140 employees from the Seelze facility, and 45 European sales and marketing personnel, according to a spokesperson for Honeywell. A Sigma-Aldrich supplier since 1997, Honeywell Fine Chemicals produces the Hydranal and Chromasolv chemicals for Sigma but will now own the brands. Honeywell also owns the Riedel-de-Haën trademark, which it licenses to Sigma.

Darmstadt, Germany 10/20/15; Morris Plains, NJ 10/20/15; St. Louis, MO 10/20/15—Merck KGaA has agreed to sell Sigma-Aldrich’s lab research chemical business to Honeywell for €105 million ($119 million = €0.88 = $1) in order to comply with the EU’s antitrust requirements for Merck’s purchase of Sigma (see IBO 6/15/15). Honeywell Fine Chemicals, part of the Honeywell Performance Materials and Technologies business, will acquire the worldwide rights to the Fluka brand of chemicals and reagents for biochemical research, the Hydranal Karl Fischer titration reagents and the Chromasolv high-purity solvents for chromatography. The purchase also includes Sigma’s manufacturing and related assets in Seelze, Germany, solvents and inorganics sold in Europe under the Sigma-Aldrich brand, and a temporary license to Sigma-Aldrich brand solvents and inorganics in the European Economic Area. “This acquisition allows Honeywell to offer laboratory customers a more complete product line, and builds on our already strong portfolio of Burdick & Jackson high-purity solvents and reagents, adding some of the industry’s most well-known and respected brands,” stated Honeywell Performance Materials and Technologies President and CEO Darius Adamczyk. “The acquisition will enable Honeywell to offer a broader line of inorganic chemicals and solvents for demanding applications ranging from pharmaceutical drug discovery to medical diagnostic testing.” In addition, Merck will provide transitional services for Honeywell to build its channel in specific markets.
